Yuberg Terms of Service

1. Scope & Acceptance
These Terms of Service ('Terms') govern your access to and use of Yuberg’s website, discovery and scoping services, branding, marketing and development services (together, the 'Services'). By using any part of the Services, including browsing our website, submitting a project request, or entering into a paid engagement, you agree to be bound by these Terms.
If you are acting on behalf of a company or organization, you confirm that you have authority to bind that entity. If you do not agree to these Terms, you must discontinue use of the Services immediately.
2. Services and Agreements
- Discovery and scoping. Yuberg may offer a discovery or scoping phase, described in proposals or statements of work, to define requirements, timelines, and deliverables. The scope and ownership of materials created during scoping are determined by the applicable proposal or agreement.
- Paid engagements. Services such as branding, marketing, web development, or design are delivered under separate proposals, statements of work, or agreements. These documents govern the specific project details and will prevail over these Terms in case of conflict.
- Confidentiality agreements. Before exchanging sensitive information, Yuberg may require a Non-Disclosure Agreement. Any confidential information shared is also protected by the confidentiality provisions in these Terms.
3. Changes to Terms
Yuberg may update these Terms from time to time. If material changes are made, we will provide notice (for example, by email or a website banner) at least ten days before the new Terms take effect. Continued use of the Services after the effective date means acceptance of the updated Terms. If you do not agree, you must stop using the Services and may request termination in writing.
4. Eligibility & Accounts
- Who may use the Services. Our Services are intended for businesses and professionals at least 18 years old and legally capable of entering into contracts.
- Account registration. If an account is required, you must provide accurate and current information. You are responsible for all activity under your account and must notify us immediately of unauthorized use.
5. Payment and Billing
- Project work. Unless otherwise agreed in writing, payments follow this schedule: 50% deposit at the start, 40% at the midpoint or agreed milestone, and 10% upon final delivery.
- Retainers and subscriptions. Fees for retainers or subscription-based services are billed in advance on the agreed schedule (monthly or quarterly). Early termination does not entitle you to a refund for unused periods unless stated in writing.
- Late Payments. Invoices overdue by more than seven days may accrue interest at 1.5% per month or the maximum allowed by law, plus collection costs.
6. Intellectual Property
- Client materials. You retain ownership of all intellectual property you provide to Yuberg.
- Yuberg deliverables. Upon full payment, you receive a perpetual, non-exclusive license to use the final deliverables for your business purposes. Yuberg retains ownership of pre-existing tools, code, frameworks, templates, and know-how used in creating deliverables.

7. Confidentiality
Each party agrees to protect the other’s confidential information with at least reasonable care and not disclose it to third parties without consent. This obligation survives termination of a project and these Terms.
8. Termination and Suspension
Yuberg may suspend or terminate your access to the Services if you breach these Terms, fail to pay fees, provide false information, or act in a way that harms Yuberg or its clients. Upon termination, all unpaid amounts become immediately due.
9. Limitation of Liability
To the fullest extent permitted by law, Yuberg’s total liability for claims related to these Terms or the Services will not exceed the total fees you paid to Yuberg during the twelve months before the claim. Yuberg is not liable for indirect, incidental, special, or consequential damages, including lost profits, business interruption, or third-party service failures (such as hosting or payment providers).
10. Dispute Resolution and Governing Law
These Terms are governed by the laws of Tunisia. Any disputes will be resolved exclusively in the Tunisian courts. If a court finds a provision unenforceable, the remaining provisions will remain valid and enforceable.
